General Counsel - Utica/N.H.

Our client is looking for a General Counsel to provide legal counsel, as well as advice to the company and affiliates. The successful candidate will:
Maintain familiarity with all requirements of law and regulation affecting the operation of the company and its affiliates, sin areas of employment laws, and state agency regulations;
Provide legal counsel and support to the company, as well as respond to inquiries from staff regarding various legal issues;
Review, advise and develop policies, procedures, handbooks and updates; and provide guidance on policies or procedures that should be developed to promote compliance and efficiencies related to operations;
Advise and consult Leaders on contract status, legal risks and business terms of various deals;
Partner with HR, Risk Management, Compliance and other departments to assist in the successful implementation of their areas of responsibilities;
Review all business operations to maintain compliance in all legal aspects and develop legal opinion, within organization or for outside resources. Maintain detailed documentation based on legal reviews that supports business decisions;
Maintain complete and comprehensive knowledge of HIPAA issues; advise on privacy incident investigations and complex data privacy protection and the needs within the company; and
Directly perform legal tasks of a varyiou nature related to the operation of a non-profit business. Review, ndraft and negotiate contracts between our client and other companies, state and federal agencies, etc.
Minimum of three (3) years of legal experience in the corporate or not-for-profit environment are required. Successful candidates will have knowledge of laws and regulations related to a 501C (3) non-profit, NYS labor laws and regulations, as well as knowledge of the Americans with Disabilities Act and the Independent Living Philosophy.
Excellent oral and written communication skills, effective research ability, and the ability to maintain a high level of confidentiality required.
J.D. Degree, and membership in good standing in the NY State Bar is required.
